1. Acceptance of Terms

Welcome to Hivemanager Inc. ("Hivemanager.io," "we," or "us"). These Terms of Service ("Terms") form a binding agreement between you and Hivemanager Inc. By clicking "I agree" during sign-up, or by accessing or using the Hivemanager.io service, you accept these Terms along with our Privacy Policy. If you do not agree, do not use the service.

We may update these Terms from time to time. Updated versions are posted at this URL with a revised "last updated" date. Your continued use of the service after an update constitutes acceptance of the revised Terms.

2. The Hivemanager.io Service

What we provide

Hivemanager.io is a cloud-based practice management platform for massage therapy clinics and related health and wellness businesses. It includes appointment scheduling, online booking, client records, SOAP notes, payment processing, staff management, automated reminders, reporting, and related features.

No medical advice

Hivemanager.io is a business management tool — not a clinical tool. Nothing in the service constitutes medical advice. You and your practitioners are solely responsible for all clinical decisions and professional judgments.

Third-party integrations

The service integrates with third-party platforms including Stripe (payments), Brevo (email), Google (analytics and cloud infrastructure), and others. Use of those platforms is subject to their own terms and privacy policies. We are not responsible for their performance, availability, or data practices.

Access by others

You are responsible for how anyone you grant access to — employees, contractors, patients — uses the service. Do not share your credentials or permit unauthorized third-party access.

3. Accounts and Credentials

If you create an account on behalf of a business, you represent that you have authority to bind that business to these Terms.

You must provide accurate, current information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@hivemanager.io if you suspect unauthorized access.

4. Subscriptions and Billing

Plans and fees

Fees are charged in accordance with the subscription plan you select. Current pricing is published at hivemanager.io/pricing/. Fees are billed in advance on a monthly basis unless otherwise agreed.

Price lock

The rate you sign up at is locked in permanently for as long as your subscription remains active. If we raise our prices for new customers in the future, your rate does not change. This commitment applies to your base per-seat rate; new optional add-ons introduced after your sign-up date are priced separately.

Additional seats

Additional bookable therapist seats are billed at the per-therapist rate in effect at the time your subscription was created. Support staff logins are always free and are not counted as billable seats.

Overdue payments

If a payment is overdue, we may suspend or limit access to the service until the balance is resolved. We are not liable for any losses arising from a suspension due to non-payment.

Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not offer pro-rated refunds for partial months. See our Cancellation Policy for full details.

5. Health-Related Information

Your ownership and responsibility

You retain full ownership and control of all client health information you store in Hivemanager.io. You are responsible for ensuring that you have obtained any necessary consents from clients before entering their information into the platform, and for complying with all applicable health privacy laws (including Alberta's Health Information Act, PIPEDA, and HIPAA if applicable to your practice).

How we use your data

We process health-related information solely to provide, maintain, and support the Hivemanager.io service. We do not sell, share, or use your client data for any other purpose. We will disclose information only when required by law, or with your explicit consent.

HIPAA

If your practice is subject to HIPAA, contact us at legal@hivemanager.io to request a Business Associate Agreement (BAA).

On termination

Upon cancellation of your subscription, we will provide read-only access to your data for a reasonable period. After that period, data will be securely deleted unless we are required by law to retain it.

6. Security

We implement administrative, physical, and technical safeguards appropriate to the sensitivity of health-related information. In the event of a confirmed unauthorized access incident involving your data, we will notify you promptly and cooperate with you to mitigate its effects.

Our subprocessors and vendors are bound by confidentiality obligations and data protection requirements consistent with these Terms.

7. Intellectual Property

Our content

All software, design, text, graphics, and other content on or within the Hivemanager.io platform are the intellectual property of Hivemanager Inc. or its licensors. Nothing in these Terms transfers ownership of that content to you.

Your license to use the service

We grant you a non-exclusive, non-transferable, revocable license to access and use the Hivemanager.io service for your internal business purposes during your active subscription.

Your content

You retain ownership of all content you enter into the platform (client records, SOAP notes, documents, etc.). By using the service, you grant us a limited license to store, process, and display that content solely as necessary to provide the service.

Feedback

If you submit suggestions or ideas about the service, we may use them without compensation or attribution. This does not limit your ability to share feedback publicly.

Trademarks

You may not use Hivemanager.io's name, logo, or trademarks without our prior written consent.

8. Prohibited Uses

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the service or another user's account
  • Reverse-engineer, decompile, or disassemble any part of the service
  • Use automated tools to scrape, crawl, or extract data from the service without our written permission
  • Transmit viruses, malware, or any code designed to disrupt or damage the service
  • Resell or sublicense access to the service without our written approval
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

9. Partner / Affiliate Program

Enrollment

Participation in the Hivemanager.io Partner Program requires completing an application at hivemanager.getrewardful.com/signup. We reserve the right to accept or reject applications at our discretion.

Commissions

Approved partners earn recurring commissions on paid subscriptions generated through their unique referral link. Commission rates, payment schedules, and minimum payout thresholds are detailed in the Partner Program terms available at sign-up. Commissions vest once a referred customer completes 30 days of paid subscription without cancellation. Refunded subscriptions are not eligible for commission.

Partner obligations

Partners must: comply with all applicable laws (including anti-spam and advertising disclosure requirements); represent the service accurately; and not use deceptive, misleading, or fraudulent marketing methods. Partners may not bid on Hivemanager.io branded keywords in paid search campaigns, or run paid advertising using their affiliate link, without our prior written approval.

Termination

We may terminate partner status at any time if these Terms or the Partner Program terms are violated, or if we determine that participation is not in the best interests of Hivemanager.io. Partners are independent contractors — no employment, agency, or partnership relationship is created.

10. Cancellation and Termination

Cancellation by you

You may cancel your subscription at any time through your account settings or by contacting support@hivemanager.io. Cancellations are effective at the end of the current billing period. No refunds are issued for unused portions of a paid period.

Termination by us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay outstanding fees, or engage in activity that may harm the service or other users. We will make reasonable efforts to provide notice before termination unless the circumstances require immediate action.

11. Media and Recording Consent

By attending a Hivemanager.io-hosted webinar, workshop, or event, you acknowledge that sessions may be recorded or photographed. You grant Hivemanager Inc. the right to use recordings and images for internal training, educational content, and marketing purposes. You may withdraw consent for future use by contacting legal@hivemanager.io, but withdrawal does not apply retroactively to already-published content.

12. Disclaimers and Limitation of Liability

As-is service

The Hivemanager.io service is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by applicable law, we disclaim all warranties — express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Hivemanager Inc. is not liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the service is limited to the greater of: (a) the fees you paid to us in the six months prior to the event giving rise to the claim, or (b) $100 CAD.

Indemnification

You agree to defend, indemnify, and hold harmless Hivemanager Inc. and its officers, directors, employees, and agents from any claims, damages, or costs (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. General Terms

Governing law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.

Dispute resolution

Any dispute arising from or relating to these Terms or the service that cannot be resolved informally will be submitted to binding arbitration in Edmonton, Alberta, under ADRIC (ADR Institute of Canada) arbitration rules. Each party bears its own legal costs unless the arbitrator orders otherwise.

Entire agreement

These Terms, together with our Privacy Policy and any applicable Order Form or Cancellation Policy, constitute the entire agreement between you and Hivemanager Inc. regarding the service and supersede all prior agreements or representations.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce it in the future.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of all or substantially all of our assets.
